Regina M. Robson is a co-founder and shareholder of Robson & Robson, P.C. Ms. Robson focuses her practice on corporate law, complex contracts and acquisitions and divestitures.
Ms. Robson has been instrumental in counseling companies through all phases of the business life-cycle, from entity selection, financing and operational issues to acquisition or divestiture. She has extensive experience in the drafting and negotiation of complex contracts, including franchise and distribution agreements, engineering and manufacturing agreements, technology licenses and procurement arrangements.
Before founding Robson & Robson, P.C., Ms. Robson worked as corporate counsel in both privately-held and publicly-traded businesses. As an assistant general counsel and division vice president for a Fortune 200 consumer products company, she provided legal services for a division with over $2 billion in sales. As assistant general counsel to a public utility company, Ms. Robson provided counsel on mergers and acquisitions and corporate governance. In addition to publicly traded companies, Ms. Robson was general counsel to a start-up business engaged in the design and engineering of industrial robots.
Ms. Robson was appointed to the faculty at the Erivan K. Haub School of Business at St. Joseph’s University in Philadelphia where she utilized her experience in private practice to enrich her teaching in the law and the entrepreneurship program. In 2012, Ms. Robson was awarded tenure and promoted to the rank of Associate Professor. Ms. Robson retired from the University in 2019 to return to private practice.
Ms. Robson is a recognized legal scholar, having published in the selective journal, American Business Law Journal. She has utilized her research to enrich her private practice, most recently in the emerging area of benefit corporations and other hybrid entities.
Ms. Robson graduated magna cum laude from Villanova University School of Law, where she was a member of the Order of the Coif and case and comment editor of the Villanova Law Review. She received her B.A. from Villanova University where she graduated summa cum laude in the Honors Program. She was honored as the first female valedictorian in the University’s history. Ms. Robson is also a member of Beta Gamma Sigma, the academic fraternity for business.
Counseled and negotiated the purchase of a styrene manufacturer with multiple-locations.
Provided legal advice and negotiation of complex custom engineering agreements, including performance guarantees, warranties and indemnification provisions.
Provided legal counsel with respect to entity formation for start-ups, including use of hybrid entity structures.
Counseled and negotiated multi-level distribution agreements involving multiple locations.
